KLAR Partners considering transaction to make Konzmann part of the Nimlas group – Konzmann bondholders asked to approve Nimlas AB as issuer

KLAR Partners, which through its funds owns both the Nordic technical installations group Nimlas and the German technical installations group Konzmann, is considering a transaction whereby Konzmann would become part of the Nimlas group. As a first step, Konzmann has today asked holders of its EUR 85 million senior secured bonds (ISIN NO0013683466) to approve Nimlas AB, the issuer of the Nimlas group’s bonds, becoming issuer of the bonds.

Under the proposal to Konzmann’s bondholders, the terms of the Konzmann bonds would be harmonised with those of Nimlas AB’s existing EUR 375 million senior secured bonds (ISIN NO0013505826). The two bonds would share a common security and guarantee package and rank pari passu. Based on LTM Q2 2026, pro forma net leverage for the combined group would be approximately 3.9x, compared with 3.8x for Nimlas. No approval is required from holders of the Nimlas bonds, as the assumption of the Konzmann bonds is deemed to be permitted under the Nimlas bond terms.

In addition to approval from Konzmann’s bondholders, a transaction is subject to, among other things, clearance from the Inspectorate of Strategic Products in Sweden and consents from other financial creditors. No decision on a transaction has been taken. If completed, it is expected to close during Q1 2027.

For further details, see Konzmann’s announcement and the summons published at www.stamdata.com. The outcome of the Written Resolution will be announced by way of a new press release from Nimlas AB once the Written Resolution has been concluded in accordance with the bond terms of the Konzmann bonds.
